VANCOUVER, BC, April 4, 2025 (GLOBE NEWSWIRE) —POWR Lithium Corp. (CSE: POWR) (FRA: 6JX / WKN: A3D6BS) (OTCQB: PWRLF) (“POWR” or the “Company”), a mineral exploration and development company focused on American lithium deposits to support domestic demand, is pleased to announce the closing of its non-brokered private placement, which consisted of 4,090,000 units (the “Units”) of the Company at a price of $0.05 per Unit for gross proceeds of $204,500 (the “Private Placement”).
Each Unit consists of one common share (each, a “Share”) and one Share purchase warrant (each, a “Warrant”). Each Warrant entitles the holder thereof to purchase one additional Share at an exercise price of $0.05 until April 5, 2029.
The Company paid finder’s fees to an arms-length brokerage firm (the “Finder”) in connection with the closing of the Private Placement, in the amount of $1,650. The Company also issued to the Finder 33,000 Share purchase warrants (each, a “Finder’s Warrant”), which Finder’s Warrants are exercisable on the same terms as the Warrants.
The gross proceeds of the Private Placement are expected to be used for general working capital.
There may be circumstances where, for sound business reasons, a reallocation of the funds may be necessary.
All securities issued pursuant to the Private Placement are subject to a statutory hold period expiring August 5, 2025, in accordance with applicable Canadian securities law.
